These Terms and Conditions (“Agreement”) govern the provision of the Power Quality Clinic service (the “Service”) by Power Quality Expert (“Provider”) to the customer (“Customer”).
1. Membership Term & Payment
1.1 The Service is provided on either a fixed-term annual membership basis or a Pay-As-You-Go (PAYG) basis, as specified in the accepted quotation. The annual membership term is twelve (12) months, commencing upon the date specified in the Provider’s official invoice.
1.2 The Provider shall issue a quotation to the Customer for the chosen membership tier or PAYG rates. Upon acceptance of an annual quotation, the Customer shall be invoiced for the full twelve (12) month period upfront. All invoices are payable within twenty-eight (28) days net from the invoice date.
1.3 No Automatic Renewal. This Agreement will not automatically renew at the end of a twelve (12) month term. To extend an annual membership for a subsequent year, the Provider will issue a new quotation to the Customer prior to the membership expiry date. The Service will terminate automatically at the end of the current term if a new quotation is not accepted and paid by the Customer.
2. Membership Tier Changes
2.1 The Customer selects their tier or PAYG model at the start of the term based on the accepted quotation.
2.2 The Customer may request an upgrade from PAYG to an annual membership tier, or to a higher annual tier, during the term by contacting the Provider in writing at info@powerqualityexpert.com. Upgrades will be subject to a pro-rata invoice covering the remainder of the membership year. Downgrades to a lower tier or to PAYG are not permitted during an active twelve (12) month annual term.
3. Pay-As-You-Go (PAYG) Framework
3.1 Customers who do not select a paid annual membership tier will default to the Pay-As-You-Go (PAYG) model.
3.2 PAYG customers are not subject to upfront annual fees and will be invoiced on a per-report or per-service basis at the standard rates specified in their quotation or the Provider’s current price list.
4. Service Inclusions & Limitations
4.1 Paid annual membership tiers include access to reports and a defined number of consultation sessions as specified within the Customer’s chosen tier.
4.2 No Roll-Over. Any unused reports or consultation sessions included in an annual tier allotment expire at the end of the twelve (12) month membership term and do not roll over to any subsequent membership years.
4.3 Consultation Allocations & Exclusions
- Annual Tiers: One-to-one pre- and post-survey consultations are limited to the specific inclusive minutes allocated to the Customer’s chosen paid annual tier, as detailed in the accepted quotation. Any consultation time utilized beyond these inclusive minutes will be charged at a supplementary rate of £99.00 (ninety-nine pounds sterling) per hour, billed in 15-minute increments
- PAYG Tier: The Pay-As-You-Go model strictly excludes all inclusive pre- and post-survey consultation minutes. Any consultation time requested by a PAYG customer will be charged in full at the standard rate of £99.00 (ninety-nine pounds sterling) per hour, billed in 15-minute increments.
5. Additional Services & Charges
5.1 Additional reports and consultation sessions requested by the Customer beyond their tier’s inclusions (or any services requested under the PAYG model) will be invoiced separately at the time of request or at the end of the calendar month in which they were delivered.
6. Non-Member Pricing
6.1 The standard price for a single Power Quality Clinic report for non-members (entities without an active annual membership or an established PAYG account) to the Service is £175.00 (one hundred and seventy-five pounds sterling).
7. Pricing & VAT
7.1 All prices quoted are exclusive of Value Added Tax (VAT). VAT will be added to all invoices at the prevailing statutory rate (currently 20%).
8. Payment Terms & Service Suspension
8.1 The Customer shall pay all invoices within twenty-eight (28) days net from the invoice date.
8.2 The Provider reserves the right to immediately suspend or terminate access to the Service (including withholding reports or account access) in the event of non-payment or late payment of any invoice.
9. Amendments to Terms, Pricing & Service
9.1 The Provider reserves the right to modify these Terms and Conditions, tier pricing, PAYG rates, and the scope of the Service for any future terms.
9.2 Any revised Terms and Conditions or pricing updates will be issued alongside the renewal quotation for subsequent periods.
10. Promotional Codes and Discounts
10.1 The Provider may, from time to time, issue promotional codes or discounts for annual membership fees. All such codes must be applied at the time of accepting the official quotation and cannot be applied retrospectively to issued invoices.
10.2 Single Term Only. Unless explicitly stated otherwise in writing by the Provider, any promotional discount applies strictly to the initial twelve (12) month membership term. It does not apply to subsequent renewal quotations or future years, which will be quoted at the Provider’s standard prevailing rates.
10.3 Limitations. Promotional codes are non-transferable, have no cash equivalent, and cannot be combined with any other offers or applied to Pay-As-You-Go (PAYG) rates. The Provider reserves the right to withdraw or cancel any promotional code at any time without notice.
